1. Agreement to these terms

These Terms of Use (the "Terms") form a binding agreement between you and Vitamias, Inc. ("Vitamias", "we", "us"). By creating an account, signing in, or booking a visit, you confirm that you have read these Terms and agree to be bound by them. If you do not agree, do not create an account or use the platform.

We may update these Terms from time to time. When we make a material change we will update the version stamp below and ask you to accept the revised Terms the next time you sign in. Continued use after acceptance constitutes agreement.

2. Eligibility and account accuracy

You must be at least 18 years old and legally able to enter into contracts to hold a Vitamias account. Because clinical eligibility and dosing depend on it, the personal information you provide — including your legal name and date of birth — must be accurate and kept current.

You are responsible for all activity under your account. Access is granted through a single-use sign-in link sent to your email address, so you must keep control of that mailbox and notify us immediately at security@vitamias.health if you believe your account has been accessed without your permission.

3. The platform is not the practice of medicine by Vitamias

Vitamias operates a technology and administrative services platform. Clinical services are furnished by independently licensed clinicians, registered nurses, and partner medical offices who exercise their own professional judgment. Vitamias does not practice medicine or nursing and does not control clinical decision-making.

No clinician–patient relationship is created by browsing our site. It begins only when a licensed clinician reviews your intake and approves an order.

4. Not for emergencies

The platform is not designed for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency department. Do not use the platform, messaging, or scheduling tools to report an emergency.

5. Medical screening and right to decline

All services require completion of a health screening and clinician approval. Services may be declined, modified, or stopped at any time — before or during a visit — if a clinician or nurse determines that treatment is not clinically appropriate or safe. Wellness infusion therapy is not a substitute for diagnosis or treatment of disease by your primary care provider.

6. Fees, authorization, and cancellations

Prices are presented before you confirm a booking. By confirming, you authorize us to charge your selected payment method for the visit, applicable add-ons, travel or rush fees, and taxes. Card processing is performed by our PCI-DSS compliant payment processor; Vitamias does not store full card numbers.

Cancellation windows, late-cancellation fees, and no-show terms are described in our Cancellation Policy, which is incorporated into these Terms by reference.

7. Acceptable use

You agree not to:

  • Provide false, misleading, or another person's information, including a false date of birth.
  • Access another person's account or protected health information.
  • Probe, scan, or attempt to breach the security of the platform, or circumvent any access control or rate limit.
  • Use the platform to harass, threaten, or endanger any patient, nurse, clinician, or partner office.
  • Scrape, resell, or commercially exploit the platform or its content without our written permission.

8. Nurse and partner office accounts

Nurse and partner office accounts are additionally subject to approval, license and insurance verification, and a separate services agreement. You represent that every license, certification, and insurance policy you submit is current, unrestricted, and truthfully described, and you agree to notify us within 72 hours of any change in your licensure status.

9. Electronic communications and e-signature

You consent to receive agreements, notices, disclosures, receipts, and this Notice of Privacy Practices electronically, and you agree that your electronic acceptance — including checking a consent box and clicking a sign-in link — is a legally binding signature under the federal E-SIGN Act. You may withdraw this consent and request paper copies by contacting us, though doing so may prevent you from using the platform.

10. Disclaimers and limitation of liability

Except as expressly stated, the platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Vitamias will not be liable for indirect, incidental, special, consequential, or punitive damages, and our total liability arising out of the platform is limited to the greater of the amounts you paid us in the twelve months preceding the claim or one hundred dollars. Nothing in these Terms limits liability that cannot be limited under applicable law, and nothing limits the professional liability of a treating clinician.

11. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California, and you and Vitamias consent to their jurisdiction. This section does not limit your right to bring a complaint before a state licensing board or the U.S. Department of Health and Human Services.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate an account for a violation of these Terms, for a safety concern, or as required by law. Following termination we retain your medical record for the period required by California law and applicable federal regulations.
